Broadcom Plans Unsolicited Bid for Qualcomm

Broadcom, created in 2016 when Avago Technologies Ltd. acquired then-Broadcom Corp. for $37-billion, said this week it will return its headquarters to the US from Singapore. This week it said it planned to move its official headquarters from Singapore to Delaware.

For Broadcom and Qualcomm, the $100 billion bid would make a good deal of sense.

This comes at a time when Qualcomm itself is trying to complete a $47 billion purchase of NXP Semiconductors.

Representatives for Broadcom and Qualcomm declined to comment.

At the company's 4G/5G Summit taking place in Hong Kong, Qualcomm has announced the first successful test of a 5G data connection on its 5G modem chip-set for mobile devices - the X50.

Broadcom's Wi-Fi chips are essentially a commodity and priced much lower than the modem chips.

Avago paid $37 billion in cash and stock for Broadcom.

Intel shares fell 1.6 percent to $46.34.

The reports came one day after Tan held a news conference with President Trump to announce that Broadcom, now based in Singapore with a primary USA office in San Jose, plans to move its corporate domicile to the United States. Apple, in suing Qualcomm, thinks the company is nonetheless overcharging for use industry standard patents, which the law requires be licensed out on fair, reasonable, and non-discriminatory (or "FRAND") terms. A legal battle with Apple is costing revenue and jeopardizing a business model that for years made Qualcomm one of the most successful chipmakers. Activist investor Elliott Management Corp has taken a large stake in NXP and has been pushing for Qualcomm to pay a higher price for the company, Reuters has reported.

We'll be paying close attention in the next few days for a potential announcement, so stay tuned for additional updates.

"These companies are leaders in those areas but there are other companies supplying them", said Lineback, who added that asset sales in those areas, if needed to address antitrust concerns, would not affect the value of the deal.
